Terms of Service

This English version is provided for reference. In the event of any discrepancy, the Japanese version prevails.

These Terms of Service (the "Terms") set out the conditions for using the Shopify app "bell ‑ AI Chat Assistant" (the "Service"). They apply to all relationships between the operator of the Service ("we"/"us") and store operators who install the Service ("Merchants").

Article 1 (Application and Consent)

By installing the Service on a Shopify store, the Merchant is deemed to have agreed to these Terms and the Privacy Policy.

Article 2 (Description of the Service)

The Service provides a chat feature in which an AI suggests and explains products to store visitors ("Visitors") based on the Merchant's product information. We may add to or change the Service without prior notice.

Article 3 (Fees)

  1. Fees for the Service follow the pricing plans shown on the Shopify App Store listing.
  2. Billing and payment are processed through Shopify's billing system.
  3. Settlement upon plan changes or cancellation (uninstallation) follows Shopify's billing mechanisms.

Article 4 (Disclaimer Regarding AI Responses)

  1. Responses are automatically generated by generative AI, and we do not guarantee their accuracy, completeness, or usefulness.
  2. The Merchant is responsible for managing and verifying, through the settings screen and otherwise, the accuracy of important information conveyed to Visitors, such as shipping, returns, and inventory.
  3. Disputes with Visitors arising from AI responses shall be resolved at the Merchant's responsibility and expense, except in cases of our willful misconduct or gross negligence.

Article 5 (Merchant Obligations)

  1. The Merchant shall appropriately notify Visitors, in the store's privacy policy or otherwise, about the use of the chat feature and the handling of information.
  2. The Merchant shall not feed the Service products or information that violate laws or Shopify's terms.

Article 6 (Prohibited Conduct)

  • Decompiling, reverse engineering, or otherwise analyzing the Service
  • Interfering with the operation of the Service (including excessive automated access)
  • Using the Service while impersonating a third party
  • Use for purposes that violate laws or public order and morals

Article 7 (Changes, Suspension, and Termination of the Service)

We may suspend all or part of the Service due to system maintenance, failures, outages of external services (Shopify, Google, Supabase, Vercel, etc.), or other unavoidable circumstances. If we terminate the Service, we will in principle notify Merchants at least 30 days in advance.

Article 8 (Limitation of Liability)

Except in cases of our willful misconduct or gross negligence, our liability to the Merchant in connection with the Service is limited to the total fees paid by the Merchant to us during the three months preceding the month in which the damage occurred.

Article 9 (Cancellation)

The Merchant may stop using the Service at any time by uninstalling it.

Article 10 (Data Handling)

We handle data obtained in providing the Service as follows (data processing terms).

  1. Purpose limitation — We process data relating to the Merchant's store (product information, chat logs, order attribution information, etc.) only within the purposes set out in the Privacy Policy, and we do not sell it to third parties.
  2. Subprocessing — We entrust parts of data processing to Supabase (database), Google (AI processing via the Gemini API), and Vercel (hosting). Changes or additions to subprocessors will be announced through revisions to the Privacy Policy.
  3. Confidentiality — We do not disclose the Merchant's data for any purpose other than providing the Service.
  4. Deletion upon termination — After uninstallation, we delete all data relating to the store without delay (in principle within 48 hours).
  5. Legal cooperation — We cooperate, through Shopify's mechanisms, with the Merchant's performance of obligations under GDPR and other laws (such as responding to Visitor data deletion requests).

Article 11 (Changes to These Terms)

We may change these Terms as necessary. For material changes, we will give notice by an appropriate method such as posting on this page; continued use of the Service after such notice constitutes agreement to the revised Terms.

Article 12 (Governing Law and Jurisdiction)

These Terms are governed by the laws of Japan. Any dispute relating to the Service shall be subject to the exclusive jurisdiction of the Tokyo District Court in the first instance.
